Granite Creek Copper Ltd. (TSX.V: GCX) (“Granite Creek” or the “Company”) announces a three-part, non- brokered private placement financing (the “Offering”) of up to CAD$2,454,000 through the issuance of 13,000,000 common shares and 4,800,000 warrants as follows:

1.)    2,100,000 units at a price of $0.145 with each unit consisting of one common share of the company and one-half of a transferable warrant with each full warrant allowing the holder to purchase a common share of the Company at a price of CAD$0.25 per share for twenty four months (“Common Share Units”);

2.)    3,400,000 flow-through common shares of the Company at a price of CAD$0.18 per share (“Flow-Through Shares”); and

3.)    7,500,000 flow-through units at a price of $0.205 with each unit consisting of one common share of the Company and one half of a transferable non-flow through warrant with each full warrant allowing the holder to purchase a common share of the Company at a price of CAD$0.25 per share for twenty four months. (“Flow-Through Units”)

PearTree Securities Inc. has agreed to subscribe to the Flow-Through Units portion of the placement up to the proposed amount of 7,500,000 units. 

If, at any time after the Closing Date, the closing price of the Company’s common shares on the TSX Venture Exchange is greater than $0.40 per share for a period of 10 consecutive trading days, the Company may elect to accelerate the expiry date of all or part of the Warrants, at any date that is four months and one day after the Closing Date, by giving notice thereof to the holders of the Warrants. In such case, that portion of the Warrants would be subject to an expiry date that is 30 business days after the date on which such notice is given by the Company. 

The proceeds from the Offering will be used for exploration and development of the Company’s Stu Copper-Gold Project in Yukon, Canada, and for general working capital purposes. All of the gross proceeds from the issuance of the Flow-Through Shares and the flow-through shares comprising part of the Flow Through Units will be used to incur Canadian Exploration Expenses (“CEE”), and will qualify as “flow-through mining expenditures” under the Income Tax Act (Canada), which will be renounced to the purchasers of such shares, with an effective date no later than December 31, 2020, in an aggregate amount no less than the proceeds raised from the issue of the Flow-Through Shares and the flow-through shares comprising part of the Flow Through Units.

Closing of the Offering is subject to certain customary conditions, including, but not limited to, the receipt of all necessary regulatory approvals and acceptance of the TSX Venture Exchange. All securities issued under the Offering will be subject to a statutory hold period of four months plus a day following the date of closing. The Company may pay finder’s fees on a portion of the Offering, subject to compliance with the policies of the TSX Venture Exchange and applicable securities legislation.
